These Terms of Service (âTermsâ) govern your access to and use of Outbird, operated by Outbird, including our website, application, and related services.
By creating an account, purchasing a subscription, or using Outbird, you agree to these Terms. If you do not agree, you must not use the services.
If you are using Outbird on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
1. About Outbird
Outbird provides AI-powered outbound email and campaign automation tools that help businesses research prospects, personalize outreach, manage campaigns, automate follow-ups, and analyze campaign activity.
Depending on your subscription and enabled features, the services may include:
- AI-assisted personalization
- Lead intelligence and prospect research
- Campaign creation and management
- Email scheduling and automation
- Automated follow-ups
- Email infrastructure and mailbox management
- Campaign analytics and reporting
- Integrations with third-party services
The specific features available to you depend on your plan, configuration, and the services we make available from time to time.
2. Eligibility and Account Registration
You must provide accurate and complete information when creating an account and keep that information up to date.
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity occurring through your account
- Ensuring that your account is used only by authorized users
- Notifying us promptly if you suspect unauthorized access
You must not create an account or use Outbird if you are prohibited from doing so under applicable law.
3. Subscriptions and Billing
3.1 Plans and Fees
Outbird may offer free trials, paid subscriptions, usage-based plans, or other pricing arrangements.
The applicable fees, billing period, usage limits, and included features will be presented at the time of purchase or in your account.
3.2 Payment
You agree to provide accurate billing information and authorize us or our payment provider to charge the applicable fees.
Unless otherwise stated:
- Subscription fees are payable in advance.
- Fees are non-refundable except where required by applicable law or expressly stated in our refund policy.
- You are responsible for applicable taxes, excluding taxes based on our income.
3.3 Renewal and Cancellation
Subscriptions may automatically renew unless cancelled before the next billing period.
You can cancel your subscription through your account settings or by contacting us at info@outbird.dev.
Cancellation generally takes effect at the end of the current billing period unless otherwise stated.
3.4 Changes to Pricing
We may change our pricing or plans from time to time. Where required, we will provide reasonable notice of material changes.
4. Acceptable Use
You agree to use Outbird only for lawful and legitimate business purposes.
You must not use Outbird to:
- Send phishing, fraudulent, deceptive, or impersonating messages
- Distribute malware, malicious code, or harmful content
- Conduct illegal, abusive, or unauthorized activities
- Attempt to gain unauthorized access to Outbird or third-party systems
- Circumvent usage limits, security controls, or account restrictions
- Use the service to violate applicable laws or third-party rights
- Interfere with the operation or security of the service
- Use the service in a way that could reasonably harm Outbird, its infrastructure, or other users
We may suspend or terminate accounts that violate these Terms or our Acceptable Use / Anti-Spam Policy.
5. Customer Responsibilities
You are responsible for the content, data, contact lists, and campaigns you create, upload, or send through Outbird.
You agree to:
- Use contact information lawfully.
- Obtain any required consent or other lawful basis for processing personal data.
- Comply with applicable privacy, marketing, and electronic communications laws.
- Provide required notices and honor applicable unsubscribe or opt-out requests.
- Ensure that your campaigns are accurate, non-deceptive, and appropriate for their recipients.
- Comply with the policies and requirements of your email providers and other connected services.
- Review campaign settings and content before sending where appropriate.
Outbird provides tools to assist with these activities, but you remain responsible for your use of the service and the campaigns you send.
6. AI-Generated Content
Outbird may use artificial intelligence to assist with prospect research, personalization, content generation, campaign recommendations, and related features.
AI-generated content may be inaccurate, incomplete, outdated, or unsuitable for a particular recipient.
You are responsible for reviewing and approving AI-generated content before using or sending it where appropriate.
Outbird does not guarantee that AI-generated content will be accurate, compliant, original, or effective for your particular purpose.
7. Email Sending and Deliverability
Outbird may provide tools for email sending, scheduling, mailbox management, warm-up, and campaign automation.
However, email delivery and inbox placement depend on many factors outside our control, including email providers, recipient systems, domain reputation, content, sending behavior, and third-party policies.
We do not guarantee:
- Inbox placement
- Delivery of every email
- Open rates
- Reply rates
- Meeting bookings
- Conversions
- Revenue
- Any particular campaign result
You are responsible for configuring your campaigns appropriately and complying with the requirements of your email providers.
8. Third-Party Services and Integrations
Outbird may allow you to connect third-party services, including email providers, CRM systems, and other business tools.
When you connect a third-party service:
- You authorize Outbird to access and use the information necessary to provide the requested functionality.
- You are responsible for maintaining the necessary permissions and access.
- Your use of the third-party service remains subject to that providerâs own terms and policies.
- Outbird is not responsible for the availability, performance, or policies of third-party services.
If a third-party service changes its API, permissions, limits, or policies, certain Outbird features may become unavailable or require changes.
9. Customer Data
You retain ownership of the content and data you submit to Outbird, including campaign content, contact lists, and other customer-provided information.
You grant Outbird a limited, non-exclusive right to host, process, transmit, and otherwise use that data only as necessary to provide, maintain, secure, and improve the services, in accordance with our Privacy Policy and any applicable agreement.
You represent that you have the necessary rights and permissions to provide such data to Outbird.
Where applicable, the processing of customer data may also be governed by a Data Processing Agreement (DPA).
10. Outbird Intellectual Property
Outbird and its licensors retain all rights, title, and interest in:
- The Outbird software and platform
- The website and its design
- Our trademarks and branding
- Our documentation
- Our technology, systems, and infrastructure
- Any improvements or modifications to the services
Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the services.
11. Feedback
If you provide suggestions, ideas, or feedback about Outbird, you agree that we may use that feedback without restriction or compensation, provided that we do not disclose your confidential information in doing so.
12. Confidentiality
Each party agrees to protect the other partyâs confidential information and use it only for purposes related to the services.
Confidential information does not include information that:
- Is publicly available through no breach of these Terms
- Was already lawfully known
- Is independently developed
- Is lawfully received from a third party without confidentiality obligations
These obligations do not prevent disclosure required by law, provided that the disclosing party gives notice where legally permitted.
13. Service Availability and Changes
We aim to keep Outbird available and reliable, but we do not guarantee that the services will always be uninterrupted, error-free, or available.
We may modify, update, suspend, or discontinue features from time to time.
Where reasonably practical, we may provide notice of material changes that significantly affect your use of the services.
14. Suspension and Termination
We may suspend or terminate your access to Outbird if:
- You violate these Terms or our policies.
- Your use creates a security, legal, or operational risk.
- You fail to pay applicable fees.
- We are required to do so by law.
- We reasonably believe suspension is necessary to protect Outbird, our customers, or others.
You may stop using Outbird at any time.
Upon termination, your right to access the services will end, except where otherwise provided by applicable law or agreement.
15. Data After Termination
After your account is terminated or cancelled, we may retain or delete information in accordance with our Privacy Policy, applicable agreements, and legal obligations.
Where applicable, you may request deletion of customer data through info@outbird.dev.
Certain information may be retained where necessary for legal, accounting, security, fraud prevention, or other legitimate purposes.
16. Disclaimers
To the maximum extent permitted by applicable law, Outbird provides the services on an âas isâ and âas availableâ basis.
We do not guarantee that:
- The services will meet every business requirement.
- The services will be uninterrupted or error-free.
- AI-generated content will be accurate or suitable for every purpose.
- Campaigns will achieve any particular result.
- Third-party services will remain available or compatible.
- Emails will reach recipientsâ inboxes.
Nothing in these Terms excludes or limits any rights or protections that cannot legally be excluded or limited.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Outbird will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business opportunities, data, or goodwill arising from or related to your use of the services.
To the maximum extent permitted by applicable law, Outbirdâs total liability arising out of or related to the services will be limited to the amount you paid to Outbird for the services during the 12 months preceding the event giving rise to the claim.
This section does not limit liability that cannot legally be limited.
18. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Outbird and its officers, directors, employees, and service providers from claims, damages, losses, liabilities, and expenses arising from:
- Your use of the services.
- Your violation of these Terms.
- Your violation of applicable law or third-party rights.
- Your campaigns, content, or contact lists.
- Your use of connected third-party services.
- Your failure to obtain any required consent, authorization, or permission for your campaigns or communications.
Outbird will provide you with reasonably prompt notice of any claim subject to indemnification, to the extent that doing so does not materially prejudice Outbird. Outbird may participate in the defense of the claim with counsel of its choice. You may not settle any claim in a way that admits liability on behalf of Outbird, imposes obligations on Outbird, or affects Outbirdâs rights without Outbirdâs prior written consent.
19. Governing Law and Dispute Resolution
These Terms will be governed by and interpreted in accordance with the laws of India, without regard to its conflict-of-law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the services will be subject to the jurisdiction of the courts located in Bengaluru, Karnataka, India, unless otherwise required by applicable law.
Before initiating formal legal proceedings, the parties agree to make reasonable efforts to resolve the dispute through good-faith discussions. If the dispute cannot be resolved through those discussions, either party may pursue the remedies available under applicable law.
20. Changes to These Terms
We may update these Terms from time to time.
When we make changes, we will update the âLast updatedâ date at the top of this page.
If we make material changes, we may provide additional notice where required by applicable law.
Your continued use of Outbird after the updated Terms become effective constitutes acceptance of the revised Terms.
21. General Provisions
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.
These Terms, together with any applicable order form, subscription agreement, DPA, or other written agreement between you and Outbird, constitute the entire agreement relating to your use of the services.
You may not assign these Terms without our prior written consent, except as part of a merger, acquisition, or sale of substantially all of your assets.
